Terms of Service

1. Acceptance of Terms

By accessing or using SMVue ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a binding agreement between you and SMVue, Inc. ("SMVue," "we," "our," or "us"), a Delaware corporation.

2. Description of Service

SMVue is a Rep Relationship Management (RRM) platform designed for sales managers. The Service helps you build stronger relationships with your sales representatives through:

  • AI-powered Daily Briefs with focus queue and priority alerts
  • Meeting preparation with AI-generated agendas, coaching tips, and performance context
  • Sales Coach — a conversational AI coaching assistant
  • Rep profiles with development areas, strengths, and performance tracking
  • Skill assessments with AI-generated coaching recommendations
  • Deal loss retrospectives with AI-powered analysis
  • 1:1 meeting notes and coaching session documentation
  • Deal tracking and pipeline management
  • Sales performance metrics, scorecards, and quota tracking
  • Action items and follow-up management
  • Calendar integrations for scheduling and meeting management
  • CRM integrations for data synchronization

3. Account Registration

To use the Service, you must create an account and an organization. You agree to:

  • Provide accurate and complete information
  • Maintain the security of your password (minimum 12 characters with uppercase, lowercase, and digit)
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use

Organization Structure

Each organization has one Owner who controls billing, user management, and settings. Organizations may have the following roles:

  • Owner — full administrative control including billing, user management, seat assignment, and settings
  • Admin (Team tier only) — user management and settings, no billing access
  • Member (Team tier only) — standard product access

Only the Owner can transfer ownership, change subscription plans, or delete the organization.

4. Subscription Plans and Payment

Starter and Pro tiers are self-serve via Stripe. Team tier pricing is arranged through our sales team.

Billing Terms

  • Monthly subscriptions are charged monthly and automatically renew until cancelled
  • Annual subscriptions are available at a 10% discount, charged upfront for the full year, and automatically renew at the then-current annual rate
  • All prices are exclusive of applicable sales tax, calculated at checkout based on your billing address
  • Payments are processed securely through Stripe

Price Changes

  • Existing customers are locked in at their subscription rate until they change plans
  • Adding seats does not trigger new pricing — new seats inherit the existing rate
  • We will never force migration to new pricing
  • 30 days advance email notice for all price changes

5. Free Trial

SMVue offers a 14-day free trial with no credit card required. During the trial, you have access to all platform features. At the end of the trial:

  • You may subscribe to a paid plan to continue using the Service
  • If you do not subscribe, access to the platform will be restricted
  • Your data will be retained for 120 days to allow you to subscribe or request data export
  • After 120 days without a subscription, your data will be permanently deleted

6. Cancellation and Refunds

Monthly Subscriptions

You may cancel at any time. Access continues through the end of the current billing period. No refund is issued for the current period.

Annual Subscriptions

  • 30-day satisfaction guarantee — full refund if cancelled within the first 30 days of the subscription or renewal
  • After 30 days, no refunds; access continues through the end of the annual term
  • The 30-day window resets at each annual renewal

Failed Payment

If your payment method fails, the following timeline applies:

7. Seat Types and Access

Seat type determines what a user can see and do within the Service:

  • Manager (User) Seat — full CRM-integrated pipeline, deals, team performance, and all coaching features. This is the only seat type that is billed.
  • Executive Seat (Team tier only, free) — organization-wide visibility with intelligence features (AI briefs, metrics). Does not include interactive tools like Sales Coach.
  • Rep Seat (free) — own performance data only. Scoped to the individual rep's metrics and development.

An organization without Manager seats has no data to display. Executive and Rep seats consume data generated by Manager seats.

8. Third-Party Integrations

The Service integrates with third-party platforms to enhance functionality. When you connect an integration, you authorize us to access and sync data as described below:

CRM Integrations (Read-Only)

  • HubSpot — read-only sync of deals, contacts, companies, and activities from your HubSpot account via OAuth
  • Salesforce — read-only sync of opportunities, contacts, accounts, and activities from your Salesforce org via OAuth. SMVue deploys a lightweight webhook notification rule to enable real-time sync updates. This rule does not modify your business data and is automatically removed if you disconnect.
  • Pipedrive — read-only sync of deals, contacts, organizations, and activities from your Pipedrive account via OAuth

SMVue never writes business data back to any connected CRM.

Calendar Integrations

  • Google Calendar — read and write access to calendar events for meeting scheduling, preparation, and attendance tracking

Each integration requires your explicit authorization via OAuth. You can disconnect integrations at any time through your account settings. Third-party services are subject to their own terms and privacy policies.

9. Artificial Intelligence Features

SMVue uses artificial intelligence to enhance your coaching effectiveness. AI features include:

  • Daily Briefs — AI-generated daily summaries with focus queue and priority alerts
  • Meeting Prep — AI-generated agendas, coaching tips, and performance context for upcoming 1:1 meetings
  • Sales Coach — conversational AI coaching assistant available on every page (subject to tier-based usage limits)
  • Coaching Insights — AI-generated observations about rep performance, deal health, and pipeline trends
  • Skill Assessments — AI-generated coaching recommendations based on manager-created evaluations
  • Deal Loss Retrospectives — AI-powered analysis of closed-lost deals with coaching agenda generation

To provide these features, your content (including CRM data, meeting notes, coaching notes, rep profiles, and conversation history) is processed by our AI providers, including Anthropic (Claude) and OpenAI. See our Privacy Policy for details on AI data processing and retention.

Important: AI-generated content is provided as guidance only and may contain errors or inaccuracies. You are responsible for reviewing and validating any AI-generated content before use. AI suggestions do not constitute professional advice.

10. User Content

You retain ownership of all content you create using the Service, including meeting notes, coaching notes, action items, skill assessments, and other documentation. By using the Service, you grant us a limited license to:

  • Store and process your content to provide the Service
  • Transmit your content to AI providers for feature functionality
  • Sync your content with connected third-party integrations you have authorized
  • Generate derived content (briefs, insights, recommendations) from your data

AI-generated content (Daily Briefs, Meeting Prep, coaching insights) is created for your use and stored in your account. This derived content is subject to the same data protection and deletion policies as your directly provided content.

Content imported from connected services (such as CRM contacts or calendar events) remains subject to the terms and policies of those services.

11. Acceptable Use

You agree not to:

  • Violate any laws or regulations
  • Infringe on intellectual property rights
  • Transmit harmful, malicious, or inappropriate content
  • Attempt to gain unauthorized access to the Service or other accounts
  • Use the Service for competitive analysis or reverse engineering
  • Use AI features to generate misleading, harmful, or inappropriate content
  • Attempt to manipulate AI features through prompt injection or similar techniques
  • Circumvent usage limits, rate limits, or abuse the Service in any way
  • Share account credentials or allow unauthorized users to access the Service

12. Intellectual Property

The Service and its original content, features, and functionality are owned by SMVue, Inc. and are protected by intellectual property laws. This includes our software, designs, AI prompts and systems, user interface, and documentation.

13. Data and Privacy

Your privacy is important to us. Please review our Privacy Policy for detailed information about how we collect, use, and protect your data, including:

  • What data we collect and how it is processed
  • How AI providers handle your data
  • Your rights under GDPR and other privacy laws
  • Cookie and tracking disclosures

You have the right to access, export, correct, and delete your personal data. These actions can be initiated through your account settings or by contacting us at privacy@smvue.com.

14. Service Availability

We strive to maintain high availability of the Service. Current system status and uptime history are available at https://status.smvue.com.

We do not guarantee uninterrupted availability. Scheduled maintenance will be communicated in advance when possible. In the event of unplanned downtime, we will communicate status updates through our status page.

15. Termination

By You

You may cancel your account at any time through the settings page. Upon cancellation:

  • Access continues through the end of the current billing period (monthly) or annual term
  • You may request an export of your data before account deletion
  • Connected integrations will be automatically disconnected
  • Data will be permanently deleted according to our data retention schedule

By SMVue

We may terminate or suspend your account immediately if you violate these Terms, including but not limited to: abuse of the Service, non-payment, or harmful conduct. We will provide notice and an opportunity to export data when reasonably possible.

16. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE SPECIFICALLY DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WITHOUT LIMITING THE FOREGOING:

  • AI-generated content is provided for informational purposes and may contain errors or inaccuracies
  • Data from third-party integrations depends on those services' availability and accuracy
  • We do not guarantee any specific business outcomes from using the Service
  • CRM data accuracy depends on the data quality in your connected CRM

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SMVUE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO SMVUE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

IN NO EVENT SHALL SMVUE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE AND WHETHER SMVUE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

These limitations apply to all causes of action in the aggregate, including breach of contract, negligence, strict liability, and other torts.

18. Indemnification

By SMVue

SMVue will defend, indemnify, and hold harmless you from any third-party claims alleging that your authorized use of the Service infringes a third party's intellectual property rights, and will pay any damages finally awarded or settlement amounts agreed to, provided you: (a) promptly notify SMVue of the claim, (b) grant SMVue sole control of the defense, and (c) provide reasonable cooperation.

By You

You will defend, indemnify, and hold harmless SMVue from any third-party claims arising from: (a) your breach of these Terms, (b) your use of the Service in violation of applicable law, or (c) data provided by you that infringes third-party rights.

19. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall first be addressed through good-faith negotiation. If a resolution cannot be reached within 30 days, the dispute shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in Delaware. Each party shall bear its own costs, and the arbitrator's decision shall be final and enforceable in any court of competent jurisdiction.

20. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of significant changes via email at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you may cancel your account before the effective date.
